Beat Marketplace Terms

These Beat Marketplace Terms govern beats, instrumentals and related licenses offered through the Kalmori Music marketplace. They supplement the Kalmori Music Terms & Conditions.

Marketplace Service Fee

Kalmori currently charges a 2% marketplace service fee on beat sales. The fee is a marketplace/service charge and does not give Kalmori ownership of the beat.

1. Marketplace Role

Kalmori provides marketplace technology, payment facilitation, file delivery and license issuance. Except where expressly stated otherwise, Kalmori is not the owner of a producer’s beat and is not a party to private creative or ownership arrangements between a Producer and Buyer.

2. Producer Ownership and Authority

A Producer retains ownership of a beat unless rights are expressly transferred under an applicable Exclusive License or another written agreement. The Producer warrants that the beat and all included material are owned, licensed or cleared for the offered license and that the Producer has authority to sell or license it.

3. License Tiers

Kalmori may support Basic, Premium, Unlimited and Exclusive license tiers. The exact rights, stream limits, monetization rights, advertising rights, radio/performance permissions, file formats, stems, term, territory and other restrictions must be shown in the license presented to the Buyer at checkout. The checkout license controls over a generic marketplace description if there is a conflict.

4. Non-Exclusive Licenses

A non-exclusive license gives the Buyer only the rights expressly stated in the applicable license. The Producer may continue licensing the same beat to others unless the applicable license states otherwise.

5. Exclusive Licenses

An Exclusive License transfers or exclusively licenses only the rights expressly identified in the applicable Exclusive License document. An Exclusive License is not a transfer of “full ownership” unless the actual license legally transfers all relevant rights. After an exclusive sale, Kalmori may remove the beat from future marketplace availability as specified in the applicable license. Existing non-exclusive licenses granted before the exclusive sale remain subject to their existing terms unless the applicable contracts lawfully state otherwise.

6. Marketplace Fee and Payout

Kalmori currently charges a 2% marketplace service fee on beat sales unless a different fee is disclosed before the transaction. The fee is a marketplace/service charge and does not give Kalmori ownership of the beat. Where Kalmori offers direct payout after a sale clears, payment remains subject to payment-processor settlement, fraud checks, chargebacks, refunds required by law and verification requirements.

7. Buyer Responsibilities

The Buyer must review the beat preview and applicable license before purchase and must use the beat only within the purchased rights. The Buyer is responsible for obtaining any additional permissions required for uses outside the license.

8. Producer Responsibilities

The Producer must deliver the files and rights promised by the selected license and must not upload stolen, infringing, fraudulently represented or uncleared material. Producers should disclose known third-party samples or restrictions where required.

9. Refunds and Delivery Problems

Digital-content and consumer refund rights can vary by jurisdiction and by whether performance begins immediately with the consumer’s express consent. Kalmori may deny change-of-mind refunds only to the extent permitted by applicable law and the checkout disclosures. Wrong, missing, corrupted or materially non-conforming files should be corrected, replaced or otherwise handled under the marketplace support process. Fraudulent transactions and chargebacks may be investigated separately.

10. Disputes

Kalmori may assist with transaction records, file-delivery verification and platform enforcement but does not adjudicate underlying ownership, songwriting or creative disputes between Producer and Buyer. Kalmori may suspend a listing or payment where a credible rights dispute or fraud concern exists.

11. Rights for Distributed Songs Using Marketplace Beats

Purchasing a beat license does not automatically give the Buyer ownership of the underlying beat or composition beyond the purchased license. If the Buyer later distributes a song through Kalmori, the Buyer must enter accurate producer, songwriter, publishing, master and other contributor information consistent with the applicable beat license and any separate agreements.
