This Artist Distribution Agreement ("Agreement") is entered into between Kalmori Distribution ("Company," "Kalmori," "we," "us") and you ("Artist," "Client," "you"), collectively referred to as the "Parties." By creating an account, uploading Content, or otherwise using the Kalmori platform, you accept and agree to be bound by every section below.

1. Grant of Rights

You grant Kalmori a non-exclusive, worldwide license to encode, reproduce, distribute, monetize, market, and display your master recordings, compositions, artwork, music videos, and metadata (collectively, "Content") for the duration of this Agreement. You retain 100% ownership of your Content at all times. You may withdraw the license through the takedown process described in Section 8.

2. Kalmori as Your Distribution Partner

Kalmori delivers your Content to DSPs and digital stores worldwide as your authorized distribution partner. Kalmori does not guarantee revenue, editorial placement, or uptime on any DSP. Kalmori is not liable for outages, policy changes, takedowns, payout delays, or other actions taken by any DSP or partner service that are outside our reasonable control.

3. Distribution Scope

Kalmori distributes your Content to Spotify, Apple Music, iTunes, YouTube Music, Amazon Music, Tidal, Deezer, TikTok, Pandora, SoundCloud, Audiomack, Boomplay, JioSaavn, KKBox, Anghami, NetEase, Beatport, Qobuz, and 250+ additional partners worldwide. The full active partner list is available in the release wizard and may change over time as DSPs are added or removed.

4. Revenue, Royalties & Payments

1. Streaming & download revenue split depends on your active subscription plan:
   • Free Plan: Kalmori retains 10% of gross streaming/download royalties; Artist receives 90%.
   • Rise Plan: Kalmori retains 5% of gross streaming/download royalties; Artist receives 95%. Pay per release.
   • Pro Plan: Kalmori retains 0% of gross streaming/download royalties; Artist receives 100%. Billed yearly.
2. Beat Marketplace: Kalmori takes a flat 5% from every beat sale, regardless of your distribution plan.
3. Royalties are calculated from reports delivered by DSPs (typically 60–90 days after the consumption period).
4. Streaming & download payout threshold: $100.00 USD. Streaming, download, and other distribution earnings accumulate in your Kalmori wallet until the balance reaches $100, after which payouts are processed monthly via the payment method on file.
5. Beat marketplace sales are NOT subject to the $100 threshold. Every beat sale pays out directly to your selected payment method after the sale clears (subject to standard payment-processor settlement times).
6. Payments are subject to DSP reporting delays, currency conversion, and bank/payment processor settlement times.

5. Royalty Hold & Reserve

Kalmori may temporarily hold or place under reserve a portion of accrued royalties to cover potential chargebacks, DSP corrections, copyright disputes, suspected fraud, or pending investigations. Active holds are visible on your wallet page. Funds are released after the relevant risk window has cleared.

6. Fraud, Artificial Streaming & Account Control

The use of bots, click farms, paid streams, stream-manipulation services, or any artificial means of inflating plays, downloads, follows, or revenue is strictly prohibited. Violation results in immediate termination of this Agreement, takedown of affected releases, and forfeiture of all related earnings. Kalmori may also suspend or terminate any account at its sole discretion if it detects activity that poses risk to the platform, our DSP partners, or our financial obligations.

7. Artist Representations & Warranties

You represent and warrant that:

1. You are the sole owner or authorized representative of all Content submitted.
2. The Content does not infringe on any third-party copyright, trademark, publicity right, or other intellectual property right.
3. You have obtained all necessary licenses, clearances, and permissions for any samples, beats, or third-party material used.
4. All metadata (artist name, track titles, ISRC/UPC codes, release dates) is accurate, truthful, and not misleading.
5. You are at least 13 years of age (or the legal age of majority in your jurisdiction with parental/guardian consent where required).

8. Term & Termination

1. This Agreement is effective upon account creation and continues until terminated by either Party.
2. Either Party may terminate with 30 days’ written notice (in-platform or via email).
3. Upon termination, Kalmori will request takedown of your Content from DSPs (typically completed within 2–4 weeks, subject to each DSP’s internal processes).
4. Any accrued royalties above the $100 USD threshold will be paid within 60 days of termination, subject to Section 5 (Royalty Hold & Reserve).

9. Dispute Resolution

Kalmori’s obligations are limited to delivering the file you submitted to the DSPs you selected. We do not mediate disputes between users (artists, collaborators, splits recipients) or between you and any DSP. You agree to resolve such disputes directly with the other party. Disputes against Kalmori are resolved by binding arbitration under the laws of the applicable jurisdiction.

10. Limitation of Liability

Kalmori is not liable for: lost revenue caused by DSP policy changes, takedowns, or outages; delays caused by third-party providers; loss of data; or indirect, incidental, consequential, or punitive damages. Our total aggregate liability under this Agreement is limited to the total fees and royalties paid to you in the 12 months preceding the claim.

11. Indemnification

You agree to defend, indemnify, and hold Kalmori, its affiliates, and third-party providers harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of: your Content; your breach of this Agreement; or your violation of any third-party right or applicable law.

12. Modifications & Acceptance

Kalmori may modify this Agreement at any time. Material changes will be communicated via email and/or in-platform notice at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Agreement.
